Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Zerowe ("Zerowe," "we," "us," or "our"), a business based in Toronto, Ontario, Canada. They govern your access to and use of the Zerowe website, web app, and related services (together, the "Service"). By creating an account, buying credits, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Zerowe is a tool that helps a person who paid a restaurant or group bill figure out who owes them what. You upload a photo of a receipt; we use third-party AI to read the line items; you assign each item to people at the table; we calculate per-person totals including a proportional share of tax and tip. The Service is sold as consumable credits — one credit covers one receipt scan. We do not currently offer subscriptions.
2. Eligibility & accounts
You must be at least 16 years old and able to form a binding contract under the laws of your jurisdiction to use the Service. You are responsible for keeping your account credentials secure and for all activity under your account. Notify us at support@zerowe.app if you believe your account has been accessed without authorization.
Each account is for an individual. You may not share, transfer, sell, or assign your account or credit balance to another person without our prior written consent.
3. Credits, payments, and refunds
- Credits are one-time purchases sold in packs at prices displayed in the Service. Payment is processed by Stripe; we do not store your card details.
- One credit is consumed per successful receipt scan. If a scan fails for a reason attributable to us (for example, our parser cannot return a result), the credit is automatically refunded to your balance in the same request.
- Credits do not expire. They have no cash value, are not redeemable for currency outside the Service, and are non-transferable.
- Except where required by law (including consumer protection statutes in Ontario), all sales of credit packs are final. Unused credits are not refundable as cash. If you believe a charge was made in error, contact us at support@zerowe.app within 30 days and we will work with you in good faith.
- Prices, pack sizes, and the per-scan rate may change at any time. Price changes do not affect credits already purchased.
4. Acceptable use
You agree not to:
- Upload receipts or content you do not have the right to upload;
- Use the Service to facilitate fraud, money laundering, tax evasion, or any other unlawful activity;
- Attempt to reverse-engineer, scrape, mirror, decompile, or otherwise extract the source code or non-public APIs of the Service except as permitted by applicable law;
- Resell, sublicense, or commercially redistribute the Service or its outputs;
- Interfere with the Service's operation or attempt to bypass usage limits or rate limits;
- Upload content that contains malware, viruses, or other harmful code;
- Use the Service to harass, defame, or harm any other person.
We may suspend or terminate your account, with or without notice, if we reasonably believe you are violating these Terms.
5. Your content
You retain ownership of the receipts and other content you upload to the Service ("Your Content"). You grant us a limited, non-exclusive, royalty-free, worldwide licence to process, copy, transmit, and analyse Your Content solely to provide and improve the Service. This licence ends when you delete the relevant content, except where retention is required by law or for our legitimate audit and tax purposes.
You represent and warrant that you have the rights necessary to upload Your Content and that doing so does not infringe any third party's rights.
6. AI outputs and accuracy
The Service uses third-party AI (currently Anthropic's Claude) to extract line items from receipt images. AI outputs can be wrong, incomplete, or misformatted. You are solely responsible for verifying the parsed receipt and for the financial decisions you make based on the Service's output. Zerowe is not a tax, accounting, or financial advisory service.
7. Intellectual property
The Service, including its software, design, logos, trademarks, and all other materials we provide (excluding Your Content), is owned by Zerowe or our licensors and is protected by Canadian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose, subject to these Terms.
8. Third-party services
The Service relies on third-party providers including Anthropic (AI), Stripe (payments), Google (sign-in), Neon (database), and analytics providers described in our Privacy Policy. Your use of those services through Zerowe is subject to their respective terms. We are not responsible for the acts or omissions of these third parties.
9. "As is" and disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI outputs will be accurate. Some jurisdictions do not allow the exclusion of certain implied warranties; in those jurisdictions, the disclaimers above apply to the extent permitted.
10. Limitation of liability
To the maximum extent permitted by law, Zerowe and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
Our aggregate liability arising out of or related to the Service, regardless of the form of action, is limited to the greater of (a) the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) CAD $50.
11. Indemnification
You agree to indemnify and hold harmless Zerowe and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) Your Content; or (d) your violation of any law or third-party right.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if continued provision of the Service to you would expose us to legal or regulatory risk.
Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. The courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any non-waivable rights you may have under the consumer protection laws of your home jurisdiction.
